Limited şirkette çıkma ve çıkarılma

Abstract

Limited şirketlerin iktisadi hayatta önemli bir yere sahip olması, limited şirketten ayrılma konusuna önem kazandırmaktadır. Ortağın, şirket sözleşmesinde öngörülen sebeplere dayanarak veya dürüstlük kuralı gereğince şirket ilişkisinin devamının çekilmez bir hal alması nedeniyle haklı sebeple şirketten çıkması veya şirket tarafından çıkarılması mümkündür. Şirketten ayrılan ortağın ayrılmadan önceki ekonomik durumunun ayrılmadan sonra da korunması için, ayrılan ortağa esas sermaye payının gerçek değerine uyan miktarda ayrılma akçesi isteme hakkı tanınmıştır.

The fact that limited liability companies have a considerable role in economical order, gives importance to the leaving the limited liability company. It is possible for the partner to withdraw or dismissal from the limited company due to the reasons stipulated in the company agreement or because of the continuation of the partnership relationship becomes unbearable pursuant to the honesty rule. In order to preserve the economic situation of the partner before the departure, the partner has been granted the right to request a leaving renumeration in accordance with the real value of the capital share.
